These Terms of Use apply to your access to and use of the CogniBuild website and platform, available at www.cognibuild.com and any related services we provide.

By accessing our website, creating an account, starting a free plan, subscribing to a paid plan, or using CogniBuild, you agree to these Terms. If you do not agree to these Terms, you should not use our website or platform.

In these Terms, “CogniBuild”, “we”, “us” and “our” refer to COGNIBUILD LTD

2. What CogniBuild does

CogniBuild is a software platform for the built environment. It helps users upload project information, structure documentation workflows, generate draft deliverables, refine content, manage supporting documents, and export project documentation.

CogniBuild may use artificial intelligence to help generate, organise, review or refine content. The platform is designed to support your work, but it does not replace your own professional judgement, technical review, legal review, regulatory review, or approval processes.

3. Who can use CogniBuild

You must be at least 18 years old to create an account or use CogniBuild.

You may use CogniBuild on behalf of a company, organisation or other legal entity. If you do, you confirm that you have authority to accept these Terms on behalf of that organisation.

You are responsible for ensuring that anyone using CogniBuild through your account or workspace complies with these Terms.

4. Your account

To access certain features, you may need to create an account.

You agree to provide accurate and up-to-date information when creating your account. You are responsible for keeping your login details secure and confidential.

You must not share your login details with anyone else unless your plan expressly allows shared access through authorised users.


You are responsible for all activity that takes place under your account, unless the activity was caused by our failure to use reasonable security measures.


If you believe your account has been compromised, you should contact us as soon as possible at contact@cognibuild.com.

5. Plans, subscriptions and payment

CogniBuild may offer free plans, paid subscriptions, usage-based limits, bolt-ons, or custom enterprise arrangements.

The features, limits and pricing for each plan will be shown on our website, checkout page, order form or other written agreement.

If you subscribe to a paid plan, you agree to pay the fees shown at the point of purchase or agreed with us in writing.

Payments may be processed by a third-party payment provider such as Stripe. Your use of that provider may be subject to its own terms and privacy notice.

Unless stated otherwise:

  • subscription fees are charged in advance;

  • VAT will be charged on subscriptions and any other taxable fees, where applicable;

  • your subscription may renew automatically at the end of each billing period;

  • you are responsible for keeping your billing details up to date.

6. Free plans and trial access

We may offer a free plan or limited access to the platform.


Free access may include limits on usage, features, exports, storage, AI generation, users, projects, deliverables, or other functionality.


We may change, suspend or withdraw free access at any time, but we will try to give reasonable notice where this materially affects active users.

7. Usage limits

Some CogniBuild plans may include usage limits. These may relate to AI generation, task runs, reruns, uploaded documents, exports, storage, users, projects, deliverables, or other platform activity.

We may display usage through a progress bar, usage allowance, account dashboard or similar feature.

If you exceed your plan limits, you may need to upgrade, purchase additional usage, reduce usage, or wait until your allowance resets.

We may apply fair usage controls to protect the platform, prevent abuse, and maintain performance for other users.

8. Acceptable use

You must use CogniBuild lawfully and responsibly.

You must not:

  • use CogniBuild for any unlawful, fraudulent, harmful or misleading purpose;

  • upload content that you do not have the right to use;

  • upload malicious code, viruses, malware or harmful files;

  • attempt to gain unauthorised access to our systems or another user’s account;

  • interfere with the security, performance or availability of the platform;

  • scrape, copy, reverse engineer, decompile or attempt to extract the source code of the platform, except where permitted by law;

  • use CogniBuild to create, upload or distribute content that is defamatory, discriminatory, abusive, threatening, obscene or otherwise unlawful;

  • use the platform in a way that infringes intellectual property rights, confidentiality obligations, privacy rights or data protection laws;

  • use automated systems, bots or scripts to access the platform without our written permission;

  • resell, sublicense or make CogniBuild available to third parties unless your plan or written agreement allows it.

We may suspend or restrict access if we reasonably believe your account is being used in breach of these Terms.

9. Your content and project documents

You retain ownership of the documents, information, prompts, instructions, outputs, edits and other content that you upload to or create within CogniBuild, subject to any rights owned by others.


In these Terms, this is called “User Content”.


You grant us a limited licence to use, host, process, store, transmit, display and generate outputs from your User Content only as needed to provide, maintain, secure and operate the service, comply with law, and support your use of the platform.


You are responsible for ensuring that:

  • you have the right to upload and use your User Content;

  • your User Content is accurate, lawful and appropriate;

  • your use of CogniBuild does not breach confidentiality, procurement, employment, client, project, data protection or professional obligations.

10. AI-generated content

CogniBuild may generate draft content based on the information you provide and the tasks you choose to run.

AI-generated content may be incomplete, inaccurate, outdated, unsuitable for your specific project, or require further professional review.

You are responsible for reviewing, checking, approving and deciding whether to use any output generated by CogniBuild.

CogniBuild does not provide architectural, engineering, planning, legal, financial, fire safety, health and safety, regulatory, procurement, cost consultancy or other professional advice.

You should not rely on CogniBuild outputs as a substitute for qualified professional judgement, project governance, statutory approval, technical review, client approval or legal review.

11. No training on your data

Unless we clearly agree otherwise with you in writing, we do not use your uploaded project documents or confidential User Content to train public AI models.

12. Intellectual property

We own or license all intellectual property rights in CogniBuild, including the website, platform, software, workflows, designs, templates, user interface, branding, logos, features, systems, and underlying technology.

These Terms do not transfer ownership of CogniBuild or our intellectual property to you.

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use CogniBuild for your internal business or project purposes.


You must not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from CogniBuild unless we have given you written permission or the law allows it.

13. Templates, structures and deliverable formats

CogniBuild may provide templates, structures, task flows, example wording, deliverable frameworks and document formats.

These are provided to help you structure your work. They may be inspired by common industry practice, but they are not guaranteed to meet the specific requirements of your project, client, appointment, statutory body, procurement route, insurer, funder, contract, professional body or regulatory framework.

You are responsible for adapting, reviewing and approving deliverables before use or issue.

14. Confidentiality

Both you and CogniBuild may receive confidential information from the other.


Each party agrees to take reasonable steps to protect confidential information and not disclose it to third parties except where needed to provide the service, comply with law, use professional advisers, or where the information is already public or independently known.


This section does not limit our obligations under applicable data protection law.

15. Data protection

Where we process personal data, we will do so in accordance with our Privacy Policy and applicable data protection laws.

You are responsible for ensuring that any personal data you upload to CogniBuild has been collected and shared lawfully.


Where required, we may enter into a separate data processing agreement with business or enterprise customers.

16. Security

We take reasonable technical and organisational measures to protect the platform and User Content.


However, no online service can be guaranteed to be completely secure, uninterrupted or error-free.


You are responsible for using appropriate security controls on your side, including secure passwords, access controls, staff training, and ensuring that only authorised users access your workspace.

17. Availability and changes to the platform

We aim to keep CogniBuild available and working reliably, but we do not guarantee that the platform will always be available, uninterrupted, secure or error-free.

We may update, improve, modify, suspend or discontinue parts of the platform from time to time.

Where a change materially affects paid users, we will try to provide reasonable notice where practical.

18. Support

Support availability may depend on your plan.


We may provide support through email, help centre articles, live chat, in-platform support, onboarding calls or other channels.


Unless agreed in a separate written agreement, we do not guarantee specific response times or service levels.

19. Third-party services

CogniBuild may integrate with or rely on third-party services, such as payment providers, hosting providers, analytics providers, communication tools, AI model providers or other software services.


We are not responsible for third-party services that we do not control.


Your use of third-party services may be subject to their own terms and privacy notices.

20. Cancellation and termination

You may cancel your subscription in accordance with the cancellation process made available through the platform, billing portal, checkout provider, or by contacting us.


Cancellation will usually take effect at the end of your current billing period unless stated otherwise.


We may suspend or terminate your access if:

  • you breach these Terms;

  • you fail to pay fees when due;

  • your use creates security, legal, operational or reputational risk;

  • we are required to do so by law;

  • we reasonably believe your account is being misused.


On termination, your right to access CogniBuild will end. We may delete or restrict access to your account and User Content after a reasonable period, subject to our Privacy Policy, data retention practices, legal obligations and any separate agreement with you.


You should export any content you need before your account ends.

21. Refunds

Refunds, if available, will be handled in accordance with the plan, checkout page, order form or written agreement that applies to your purchase.


Unless required by law or expressly stated otherwise, fees already paid are non-refundable.


For consumer users, nothing in these Terms affects any statutory rights that cannot legally be excluded.

22. Disclaimers

CogniBuild is provided on an “as is” and “as available” basis.


We do not guarantee that:

  • CogniBuild will meet your specific requirements;

  • outputs will be accurate, complete, compliant or suitable for your project;

  • the platform will be uninterrupted, error-free or free from vulnerabilities;

  • any deliverable will be accepted by a client, authority, consultant, contractor, professional body, funder or other third party.


You are responsible for checking all outputs before relying on, issuing or submitting them.

23. Liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • any liability that cannot legally be limited or excluded.


Subject to the above, we will not be liable for:

  • loss of profit;

  • loss of revenue;

  • loss of business;

  • loss of contracts;

  • loss of anticipated savings;

  • loss of goodwill;

  • loss of data, except where caused by our failure to use reasonable care and skill;

  • indirect or consequential loss.


Subject to the above, our total liability to you arising out of or in connection with these Terms or your use of CogniBuild will be limited to the greater of:


a) the total fees paid by you to us in the 12 months before the event giving rise to the claim; or


b) £100.

This liability cap does not apply where the law does not allow liability to be limited in this way.

24. Indemnity

If you are using CogniBuild on behalf of a business, you agree to indemnify us against losses, damages, claims, costs and expenses arising from:


  • your unlawful use of CogniBuild;

  • your breach of these Terms;

  • your User Content;

  • your breach of third-party rights;

  • your breach of confidentiality, data protection, professional, contractual or project obligations.

25. Changes to these Terms

We may update these Terms from time to time.


If we make material changes, we will take reasonable steps to notify users, such as by email, in-platform notice, or a notice on our website.


The updated Terms will apply from the date stated at the top of the page or from the date we notify you.


If you continue using CogniBuild after changes take effect, you will be treated as having accepted the updated Terms.

26. Transferring rights

You may not transfer your rights or obligations under these Terms without our written consent.


We may transfer our rights and obligations under these Terms to another organisation, for example as part of a merger, acquisition, restructuring or sale of business assets, provided this does not materially reduce your rights.

27. If part of these Terms is invalid

If any part of these Terms is found to be invalid, unlawful or unenforceable, the rest of the Terms will continue to apply.

28. No waiver

If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.

29. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.


The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, unless applicable law gives you the right to bring proceedings elsewhere.
